Terms and Conditions
These terms govern the use of veroanimalhealth.ca and every purchase made from Vero Animal Health. Please read them carefully; by placing an order or using this website you agree to be bound by them.
1. Definitions and acceptance
"Vero Animal Health", "we", "us" and "our" mean Vero Animal Health and its affiliated companies. "Customer", "you" and "your" mean the person or business purchasing products or using this website. "Products" means all goods sold by Vero Animal Health, including veterinary medical devices, surgical packs and pet-care products. These Terms, together with our Shipping Policy and Privacy Policy, form the entire agreement between you and Vero Animal Health and supersede any terms contained in a Customer purchase order.
2. Eligibility and professional use
Certain Products — including sterile medical devices, needles, sutures, staplers and surgical packs — are intended for use by, or under the direction of, licensed veterinarians and are sold only to veterinary professionals, wholesalers, distributors, retailers and other approved trade accounts. By ordering restricted Products you represent that you hold the licences and registrations required in your jurisdiction. Vero Animal Health may request proof of licence and may refuse or cancel any order at its discretion.
3. Orders and acceptance
All orders are subject to acceptance by Vero Animal Health and to product availability. An order is accepted when we issue an order confirmation or ship the Products, whichever comes first. We may limit quantities, correct pricing or description errors, and decline orders that appear to be placed by resellers not approved by us. Custom procedure trays and special-order items are made to your specification and cannot be cancelled once production has started.
4. Pricing, taxes and payment
Prices are quoted in Canadian dollars unless otherwise stated and exclude applicable taxes (GST/HST/PST), shipping and handling, which are added at invoicing. Prices may change without notice; the price in effect at the time of order acceptance applies. Payment terms for approved trade accounts are net 30 days from invoice date unless agreed otherwise in writing; all other orders are payable before shipment. Overdue balances bear interest at 1.5 % per month (18 % per annum) and Vero Animal Health may suspend shipments on accounts in arrears.
5. Shipping, title and risk
All shipments are made F.O.B. Origin. Title to and risk of loss for the Products pass to the Customer when the goods are picked up by the carrier at our facility. Vero Animal Health selects the carrier and ships in-stock orders within 2 business days; delivery times are estimates and not guaranteed. Freight, handling and insurance are charged to the Customer unless otherwise agreed. Full details, including claims for damaged or lost shipments, are set out in our Shipping Policy.
6. Return policy
Vero Animal Health has a 10-day return policy. If, for any reason, you wish to return a Product, we will reimburse the product cost only, for up to 10 days following your purchase. Shipping costs are your responsibility.
- Return authorization required. Before returning any Product you must contact us at info@veroanimalhealth.ca to obtain a Return Authorization (RA) number. Returns received without an RA number will be refused.
- Condition. The Product must be in brand-new, mint condition, with original packaging, seals and tags intact, so that it can be resold. Items that do not meet these requirements will be shipped back to you at your expense.
- Non-returnable items. Sterile Products with opened or damaged seals, custom procedure trays, special-order items, and Products past their expiry date cannot be returned.
- Defective or incorrect items. If we shipped the wrong item or a Product is defective on arrival, notify us within 48 hours of delivery and we will arrange replacement or credit at our cost.
7. Product warranty and use
Vero Animal Health warrants that Products will conform to their published specifications and be free from defects in material and workmanship until their labelled expiry date, or for 12 months from shipment for Products without an expiry date. This warranty does not cover damage caused by improper storage, handling, use contrary to the instructions for use, or modification. The Customer is solely responsible for the selection of Products and for their use in accordance with veterinary standards of practice and applicable law. Except as expressly stated, all Products are provided without any other warranty, express or implied, including warranties of merchantability or fitness for a particular purpose.
8. Limitation of liability
To the fullest extent permitted by law, Vero Animal Health's total liability arising from any order or from the use of this website shall not exceed the amount paid by the Customer for the Products giving rise to the claim. Vero Animal Health shall not be liable for indirect, incidental, consequential or special damages, including loss of profit, loss of animals or veterinary malpractice claims, even if advised of their possibility.
9. Use of the website
The veroanimalhealth.ca website contains links to other websites. Neither Vero Animal Health nor its affiliated companies are responsible for the content or confidentiality practices of those sites; our Statement of Confidentiality applies only to the Vero Animal Health site. The website does not allow visitors to communicate with others or publish information that is accessible by other visitors. You agree not to misuse the website, interfere with its operation, or attempt to gain unauthorized access to any part of it or to our systems.
10. Intellectual property
All content on this website — text, images, logos, product names and designs — is the property of Vero Animal Health or its licensors and is protected by Canadian and international copyright and trademark law. You may not reproduce, distribute or use any content for commercial purposes without our prior written consent. Approved dealers may use our product images and descriptions solely to resell our Products, in accordance with our brand guidelines.
11. Information, cookies and confidentiality
Information gathered from our website is combined from visits for the following purposes: marketing, customer service and management, improving the website, and administration of the website. Our website uses cookies to evaluate traffic, provide social-media features and personalize content; strictly necessary cookies are stored without consent, and all other cookies require your permission, which you may withdraw at any time from the cookie notice on our website.
Your personal data will not be disclosed to government institutions or other authorities unless required by law, and we do not sell your personal information to anyone. To access the personal information we hold about you, email info@veroanimalhealth.ca; we will supply it within 10 days and may require identification. We reserve the right to refuse an access request and will notify you of the reasons. 12. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Ontario sitting in Toronto. If any provision of these Terms is held invalid, the remaining provisions remain in full force.
13. Changes to these terms
Vero Animal Health may update these Terms from time to time. The version published on this page at the time an order is placed applies to that order. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
